Slim, good suggestion regarding the passive player. I think there are a couple folks 2+2 folks that I would consider laying down in this spot, but its not the folks most would guess so.... I'll have to test this and see how it rolls...

I like to shove just because you're out of position and it can make for awkward spots post-flop if he cold calls because of his stack size. A raise and call is fine though. You clearly can't fold to a shove.
