Nope, not 12 outs. He has 8 outs <u>to the nuts</u> and a few other cards that don't give him the nuts.
This is an easy fold as it is a bad flop that looks like a good flop. He needs 14 clean outs to justify the flop call out of position IMHO. He is unlikely to get paid off when he hits, and he cannot assume all his outs scoop for him.
