Default What does this mean?

Today I caught this and don't understand.
Agilent (A) has a ton of cash...
Why this offering?

I'm guessing they are selling their senior notes for cash so that they can use it for "corporate purposes." I would imagine that they don't want to use their cash on hand to pay for what they are intending it for, and would rather get rid of the debt that the notes hold.

I can't imagine that they need more cash. I think I smell something ugly instead, LBO
