Default 2/5 AK pickin up nice draw on turn

Villain is 38/14/1 but just over 40 hands. Should I fold this flop? On turn I pick up the nutflushdraw along with an inside straightdraw. Now what?

Effective stacks ~$700

Yeah I'm not betting this... so I check.. and...

Pre-flop: (6 players) Hero is BB with K[img]/images/graemlins/club.gif[/img] A[img]/images/graemlins/diamond.gif[/img]
<font color="red">UTG calls</font>, 3 folds, SB calls, <font color="red">Hero raises to $25</font>, <font color="red">UTG calls</font>, SB folds.

Flop: K[img]/images/graemlins/diamond.gif[/img] 2[img]/images/graemlins/club.gif[/img] J[img]/images/graemlins/diamond.gif[/img] ($55, 2 players)
<font color="red">Hero bets $38</font>, <font color="red">UTG raises to $120</font>, <font color="red">Hero calls</font>.

Turn: T[img]/images/graemlins/diamond.gif[/img] ($295, 2 players)
<font color="red">Hero checks</font>, <font color="red">UTG bets $140</font>

~$550 left in stack

So, is this a call, fold or allin?

If I reraise flop I gotta call a shove right? Why doesn't c/c or c/shove matter on turn?
