Often you don't have access to the shares immediately or are unable to sell them (as an employee) for a certain amount of time after you receive them. This varies from Co to Co. Last Company I was at, we weren't allowed to sell them for like - 2 weeks or somthing after the offering period. Current Company just takes a while to deposit them (shady bitches) which is, in effect, a black-out period (though not explicitly stated).

Doesn't matter. I should probably clarify tho, that not all companies account for the discount the same way. Say the fair market value is $10, you get 15% off and purchase for $8.50. That $1.50 profit will sometimes be added as regular income that you get taxed on (last job it was, this job it ain't for me). Then, when you sell, you pay taxes on the gains, however if you pay on your cost basis, you're effing yourself in the A.
