Draw heavy board and villain flats pre and overshoves post

this sure seems like a made hand afraid of the flush draw or a big draw. maybe conservative, but putting him on a range of 55-jj, AKsp, kqSp, 98o, A8 with one sp puts villain on a 65% chance of winning here. I think i can find a fold here as if youre ahead its probably not by a alot and if you're behind you're WB

The insta shove definitely seems like a draw. Could be 44/88/99. Seems like most other overpairs would get reraised pf. A set is possible but I would expect a lead and the insta overbet just doesn't look like he wants action. I'm definitely not folding.

whats the standard rule when its hand-for-hand?

I guess its that if for example two players bust in the "same" hand (on different tables) the one that started with the lower chip stack get the lower placement regardless of what time it took. correct?
